General Terms and Conditions (GTC)

The following general terms and conditions (GTC) apply to all products and services offered by Rent A Foil as well as to the use of the websites operated by Rent A Foil. By using our website, you accept the following terms and conditions unchanged and in full:

1. Scope of Application

1.1 Subject of the Contract

The subject of these GTC is the legal relationship between Rent A Foil and the persons using its platforms, websites, and partner platforms (hereinafter referred to as “User”) regarding all products and services offered by Rent A Foil. These GTC apply to any use of the products and services offered by Rent A Foil.

1.2 Conclusion of Contract

Consent to these GTC is given by signing a written cooperation agreement or a written offer, by explicit or implied acceptance of an order confirmation, by payment of an invoice, or by using the products and services offered by Rent A Foil. When using the websites of Rent A Foil, the User may be asked to agree to these GTC by activating a corresponding input field.

1.3 Contractual Components

Integral parts of the contract are (if existing in the specific case) (a) the written cooperation agreement concluded between Rent A Foil and the User, (b) the user-specific written offer, (c) the written order confirmation, (d) these GTC, and (e) the product description valid at the time of utilizing a product or service and published on the websites of Rent A Foil. In the event of ambiguities or contradictions between the individual contract documents, the above order of precedence shall apply. Regarding data protection, the current version of the Privacy Policy published on the websites of Rent A Foil shall apply.

2. Duration of Contract and Data Retention

Premature termination of a contract concluded for a fixed term or for a minimum term is excluded. Rent A Foil is not obliged after the end of the contract to retain the data and documents provided to it or to return them to the User, unless retention or return has been explicitly agreed upon.

3. Terms of Payment

The User’s payment obligation begins upon conclusion of the contract. Invoices from Rent A Foil are payable within 30 days of receipt of the invoice without deductions, unless other terms of payment have been explicitly agreed upon. In the event of default of payment, default interest of 5% and, starting from the second reminder, an additional cost-covering reminder fee will be charged. If the User is in default with the payment of invoices, Rent A Foil is also entitled to suspend its services without prior notice and to block the User or their access to further services from Rent A Foil. If a staggered payment was agreed upon and the User is in default with the payment of an installment, this will also trigger the immediate maturity of all outstanding installments.

4. Third-Party Offers

Rent A Foil also publishes third-party offers and/or links to third-party offers or websites on its platforms. Rent A Foil is not responsible for these third-party offers or for the content of third-party websites and excludes any liability in connection with such third-party offers or websites. The User is advised to also consult the relevant general terms and conditions or privacy policies of the respective third parties.

5. Liability

5.1 Liability of Rent A Foil

Rent A Foil provides its services carefully and professionally. However, Rent A Foil cannot guarantee the uninterrupted availability or error-free nature of its services. In particular, Rent A Foil is not liable for any operational interruptions and/or technical disruptions and their consequences. In any case, any liability of Rent A Foil is limited to unlawful intent or gross negligence. Rent A Foil is not liable for damages resulting from slight negligence (regardless of the legal basis). Any liability for indirect or consequential damages, lost profits, damages resulting from use of Rent A Foil’s services by the User or other third parties that violates the contract, law, or purpose, or damages attributable to force majeure is excluded.

5.2 Liability of the User

The User is liable to Rent A Foil, regardless of fault, for all damages and costs caused as a result of a breach of these GTC or other contractual components, and shall fully indemnify Rent A Foil against all claims asserted against Rent A Foil by third parties as a result of their use of the platforms of Rent A Foil and any of its partner platforms. The damages to be compensated also include reasonable legal prosecution costs. Rent A Foil will inform the User immediately of any claim asserted by a third party.

Furthermore, in cases of use contrary to the contract, Rent A Foil has the right to terminate the contract with the User immediately and without reimbursement of any costs and to deny the User further use of the contractual services.

5.3 Liability of Rent A Foil for Third-Party Services

In connection with the use of Rent A Foil’s services, third-party services may be used by the User. In these cases, the User enters into a contract directly with the third-party provider. Rent A Foil assumes no responsibility whatsoever for the provision of these third-party services.

6. Miscellaneous Provisions

6.1 Place of Performance

The place of performance for all services to be rendered by Rent A Foil is the registered office of Rent A Foil.

6.2 Amendment of Contractual Conditions

Rent A Foil reserves the right to amend these GTC at any time. The current version of these GTC published on the websites of Rent A Foil shall apply between the User and Rent A Foil. Rent A Foil will inform Users in good time on its websites or in another suitable manner about changes to these GTC.

6.3 Changes to the Range of Services

Rent A Foil reserves the right to change its range of services at any time without prior notice or justification, or to discontinue its range of services in whole or in part. Such a change or discontinuation of the range of services does not entitle the User to assert any claims against Rent A Foil. In the event of a material change or discontinuation of the range of services, Rent A Foil will, however, endeavor to offer the User an equivalent option.

6.4 Data Protection

Rent A Foil undertakes to process personal data of Users, in particular registration data, carefully and in accordance with Swiss data protection law. Rent A Foil processes data in accordance with Rent A Foil’s Privacy Policy. The Privacy Policy of Rent A Foil is an integral part of these GTC and thus of the contract between Rent A Foil and the Users.

6.5 Intellectual Property Rights

The software developed by Rent A Foil as well as the entire content of the services and platforms of Rent A Foil is protected by copyright and belongs either to Rent A Foil itself or to third parties and may not be copied, processed, distributed, or otherwise modified without the consent of Rent A Foil or the third party. This also applies to word, image, and/or acoustic trademarks and logos displayed on the services or platforms of Rent A Foil.

Rent A Foil grants the User the non-transferable and non-exclusive right to use the intellectual property rights provided within the scope of Rent A Foil’s services for the duration of the contract. All corresponding rights to existing intellectual property or intellectual property created upon performance of the contract remain or arise entirely with Rent A Foil or the authorized third parties. Insofar as Rent A Foil is held liable by third parties due to infringements of intellectual property rights for which the User is responsible, the User hereby explicitly undertakes to fully indemnify Rent A Foil.

6.6 Assignment

Transfers of rights and obligations of the User arising from this contract require the written consent of Rent A Foil.

6.7 Exclusion of Set-Off

By concluding the contract, the User waives their right to set off claims that they have or believe they have against Rent A Foil.

6.8 Severability Clause

Should any provision of these GTC be or become void or invalid, the remaining part of the GTC shall not be affected thereby. Void or invalidated provisions shall be replaced by such valid provisions that come closest to the economic purpose of the void or invalid provision. The same procedure shall apply if a contractual gap arises or if a provision proves to be unenforceable.

6.9 Applicable Law and Jurisdiction

These GTC and the other contractual components as well as any disputes arising out of or in connection with the contractual relationship between Rent A Foil and the User shall be governed exclusively by substantive Swiss law. The ordinary courts at the registered office of Rent A Foil shall have exclusive jurisdiction, whereby Rent A Foil is additionally entitled to take legal action against the User at their domicile.
